　　2025年12月26日，海安橡胶集团股份公司第二届董事会召开第十八次会议，通过关于调整公司总裁职务的议案：

　　 On December26,2025,the18th meeting of the Second Board of Directors of Haian Rubber Group Co.,Ltd.was held,during which the proposal on adjusting the position of the company's president was reviewed and approved:

　　一、公司董事长朱晖先生不再兼任公司总裁职务；

　　 Mr.Zhu Hui,Chairman of the Board,shall no longer concurrently serve as President of the company.

　　二、聘任朱振鹏先生出任公司总裁，任期自本次董事会决议通过之日起算，至第二届董事会任期届满止。

　　 Mr.Zhu Zhenpeng is appointed as President of the company.His term shall commence from the date of approval of this board resolution and end upon the expiration of the term of the Second Board of Directors.

　　此次人事安排系公司董事会从战略发展全局出发，经审慎研究后作出的重要决策。朱晖先生在兼任总裁期间恪尽职守，董事会对其付出的努力与取得的业绩予以充分肯定。

　　 This personnel arrangement is an important decision made by the Board of Directors based on the overall strategic development of the company after prudent study.During his tenure as concurrent President,Mr.Zhu Hui diligently performed his duties,and the Board fully affirms his efforts and achievements.

　　朱振鹏先生，男，汉族，中国国籍，出生于1992年11月，本科学历。现任海安橡胶集团股份公司董事、总裁，福建省信晖投资集团有限公司董事长，海安加拿大、俄罗斯、加纳、南非及上海、厦门等公司董事，福建省第十四届人民代表大会代表。

　　 Mr.Zhu Zhenpeng,male,Han ethnicity,Chinese nationality,born in November1992,holds a bachelor’s degree.Currently serves as:

　　朱振鹏先生大学毕业后即服务于海安集团（001233），从最基层的车间操作工做起，一步步成长起来。分管过生产调度、采购系统、品管及仓储系统等，熟悉车间流水工艺及机台设备。在业务系统工作期间，躬身亲为，注重实效，亲自带领团队，常年奔波于数十个国家开拓业务，敬业精神可嘉，为公司业绩提升作出过卓越贡献。

　　 After graduating from university,Mr.Zhu Zhenpeng joined and served in Haian Group,starting as an entry-level workshop operator and growing step by step.He has overseen production scheduling,procurement systems,quality control,warehousing systems,etc.,and is familiar with workshop assembly line processes and machinery equipment.During his tenure in the business system,he led by example,focused on practical results,personally led the team to travel frequently to dozens of countries to expand business,demonstrated commendable dedication,and made outstanding contributions to the company’s performance growth.

　　主导设立十多家海外子公司，完成全球业务新布局；优化营销团队结构，在美洲、澳洲、非洲等多个国家和地区建立本土化团队，实现海外市场占有率稳步提升；牵头签订多个客户长期战略合作协议，推动集团外贸规模持续扩张，完成从“产品出海”到“服务出海”升级，加速品牌全球化推进。

　　 He spearheaded the establishment of over a dozen overseas subsidiaries,completing a new global business layout;optimized the marketing team structure,built localized teams in multiple countries and regions including the Americas,Oceania,and Africa,achieving steady growth in overseas market share;led the signing of long-term strategic cooperation agreements with multiple clients,driving continuous expansion of the group’s international trade scale,upgrading from“product going abroad”to“service going abroad”,and accelerating brand globalization.
